Data Processing Addendum

Last updated: 5 October 2026

This Data Processing Addendum ("DPA") forms part of the agreement between Customer and Cyncly covering Customer's use of Cyncly's products and services ("Agreement"). It is incorporated into and governed by Cyncly's Terms and Conditions, available at https://www.cyncly.com/terms-and-conditions. By entering into the Agreement, Customer accepts this DPA. Where Customer has executed a separately negotiated and signed data processing agreement with Cyncly, that agreement prevails over this DPA to the extent of any conflict.

1.  PROCESSING OF PERSONAL DATA

1.1  Description of Processing: Details of processing activities including categories of data subjects and Personal Data processed are set out in Annex I.B (Description of Processing). This DPA applies to Customer Personal Data and, unless the context requires otherwise, references in this DPA to Personal Data processed by Cyncly are to Customer Personal Data.

1.2  Cyncly's Role: As a Processor, Cyncly will process Customer Personal Data only: (i) in accordance with documented Customer Instructions; or (ii) where required to do so by applicable law, in which case Cyncly will inform Customer of that legal requirement before processing, unless that law prohibits such information on important grounds of public interest.

1.3  Compliance with Law: Each party will comply with Data Protection Law applicable to its processing of Personal Data. Customer is responsible for ensuring Customer Instructions comply with Data Protection Law. Cyncly will immediately inform Customer if, in its opinion, an instruction infringes Data Protection Law.

1.4  Confidentiality: Cyncly will ensure that persons authorised to process Personal Data are subject to appropriate confidentiality obligations.

1.5  Customer Responsibilities: Customer represents and warrants that: (i) it has, and will maintain, a lawful basis under Data Protection Law for the processing of Customer Personal Data by Cyncly under this DPA; (ii) it has provided all notices to, and obtained all consents from, Data Subjects that are required under Data Protection Law for that processing; and (iii) its Customer Instructions and its use of Cyncly's products will not cause Cyncly to breach Data Protection Law.

1.6  Cyncly as Independent Controller: This DPA does not apply to Personal Data that Cyncly processes as an independent Controller for its own purposes, including: (i) account, subscription and billing information; (ii) business contact information of Customer's personnel used to manage the commercial relationship; and (iii) product usage, licensing and analytics data used to operate, secure, license, support and improve Cyncly's products (together, "Cyncly Controller Data"). Cyncly processes Cyncly Controller Data in accordance with its Privacy Policy and Data Protection Law.

2.  SECURITY AND SECURITY INCIDENTS

2.1  Security Measures: Cyncly has implemented and will maintain appropriate technical and organisational measures to protect the security, confidentiality, integrity, and availability of Personal Data, including but not limited to the baseline measures as described in Annex II (Technical and Organisational Measures).

2.2  Security Incidents: Cyncly will notify Customer without undue delay, after becoming aware of a breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorised disclosure of, or access to Personal Data ("Security Incident"). Cyncly will take reasonable steps to investigate, mitigate, and remediate the Security Incident. Security Incidents do not include unsuccessful attempts or activities that do not compromise the security of Personal Data, including unsuccessful log-in attempts, pings, port scans, denial of service attacks and other network attacks on firewalls or networked systems.

2.3  Content of Notification: Cyncly's notification will, to the extent then known, describe: (i) the nature of the Security Incident, including where possible the categories and approximate number of Data Subjects and Personal Data records concerned; (ii) the name and contact details of a Cyncly point of contact; (iii) the likely consequences of the Security Incident; and (iv) the measures taken or proposed to address the Security Incident and mitigate its possible adverse effects. Where it is not possible to provide all of this information at the same time, Cyncly may provide it in phases without undue further delay.

2.4  No Admission: Cyncly's notification of, or response to, a Security Incident is not an acknowledgement by Cyncly of any fault or liability in respect of the Security Incident.

3.  SUB-PROCESSORS

3.1  General Authorisation: Customer generally authorises Cyncly to engage sub-processors (including Cyncly group companies) to process Personal Data. Cyncly will enter into written agreements with each sub-processor imposing the same data protection obligations as those set out in this DPA, and remains fully liable to Customer where a sub-processor fails to fulfil those obligations.

3.2  Sub-processor List: Annex III sets out Cyncly's current sub-processors, including each sub-processor's function and processing location. Cyncly will update Annex III when it appoints a new sub-processor and publish the updated DPA with a revised "Last updated" date.

(a) EEA, UK and Swiss Customers (where Customer is established in the European Economic Area, the United Kingdom or Switzerland, or processes Personal Data subject to the GDPR, UK GDPR or Swiss FADP):

Cyncly will give Customer at least 10 days' prior written notice before engaging a new sub-processor to process Personal Data, by email to Customer’s primary contact on record or other written means (including in-product or account notices). During that period, Customer may object in writing on reasonable data protection grounds. If Customer does not object within that 10-day period, Customer is deemed to have accepted the new sub-processor. Cyncly and Customer will discuss commercially reasonable alternative solutions in good faith to resolve the objection. If the parties cannot resolve the matter within the period mutually agreed for that purpose (or, absent agreement, within 30 days of Customer's objection), Customer may terminate the affected Services on written notice as its sole remedy with respect to that sub-processor change, provided such termination right shall not relieve Customer of any payment obligations accrued prior to the termination date. Where Cyncly needs to replace a sub-processor urgently for security, legal or service continuity reasons, Cyncly may engage the replacement immediately and will notify Customer as soon as reasonably practicable afterwards. Customer's objection rights under this clause will then apply from the date of that notice.

(b) All Other Customers:

Cyncly will notify Customer of each new sub-processor appointed to process Personal Data by updating Annex III in accordance with clause 3.2. Customer will be deemed to have no objection to an appointed sub-processor unless Customer notifies Cyncly otherwise in writing within 10 days of that update. To the extent applicable law requires Cyncly to provide advance notice of sub-processor changes, Cyncly will do so in accordance with such requirements.

4.  DATA SUBJECT RIGHTS AND ASSISTANCE

4.1  Data Subject Requests: Cyncly will provide reasonable and timely assistance to enable Customer to respond to requests from individuals exercising rights under Data Protection Law, to the extent Customer cannot fulfil such requests using the self-service functionality of Cyncly's products.

4.2  DPIAs and Regulatory Consultation: Where required by applicable Data Protection Law, Cyncly will provide reasonable assistance to Customer in connection with any data protection impact assessment or consultation with a regulatory authority required under Data Protection Law.

4.3  Government Requests: If Cyncly receives a legally binding request from a governmental or law enforcement authority for disclosure of Personal Data, Cyncly will: (i) promptly notify Customer unless prohibited by law; (ii) where permitted, refer the requesting party to Customer; (iii) use reasonable efforts to challenge any request that is unlawful, disproportionate, or overbroad; and (iv) not disclose Personal Data unless required by law.

4.4  Costs: To the extent permitted by Data Protection Law, Cyncly may charge Customer, at its then-current professional services rates notified to Customer in advance, for: (i) assistance under clauses 4.1 and 4.2 that goes beyond the self-service functionality of Cyncly's products; and (ii) any audit under clause 6.2, except where the audit reveals a material breach of this DPA by Cyncly.

5.  DELETION AND RETURN

On expiry or termination of the Agreement, Cyncly will delete or return Customer Personal Data in accordance with Customer's request. Customer may export Customer Content using the self-service functionality of Cyncly's products, or request its return, at any time before, or within 30 days after, expiry or termination. If Customer has not made a request within that period, Cyncly will delete Customer Personal Data within 90 days after expiry or termination, without being liable to Customer. Customer Personal Data held in backups will be deleted in line with Cyncly's normal backup rotation cycle and, until deleted, will remain protected under this DPA and will not be actively processed. Cyncly may retain Personal Data only to the extent required by applicable law, subject to the confidentiality and processing restrictions in this DPA.

6.  AUDIT

6.1  Audit Reports:

(a)  EEA, UK and Swiss Customers: Upon Customer's written request at reasonable intervals, and subject to appropriate confidentiality controls, Cyncly will make available all information reasonably necessary to demonstrate compliance with this DPA, including copies of its then-current third-party certifications and audit reports (where held) and responses to Customer's reasonable written security questionnaires (no more than once per year, unless following a Security Incident), to support Customer's verification of compliance with this DPA, in accordance with GDPR/UK GDPR.

(b)  All Other Customers: Cyncly will make available its then-current third-party certifications upon reasonable written request, subject to appropriate confidentiality controls.

6.2  On-Site Audit:

(a)  EEA, UK and Swiss Customers: Only to the extent Customer's audit requirements under applicable Data Protection Law cannot reasonably be satisfied under Section 6.1(a), Customer (or its appointed representative) may, at Customer's expense, conduct a compliance audit with minimum 45 days advance written notice, once per year, during business hours and subject to reasonable confidentiality controls.

(b)  All Other Customers: No on-site audit right applies unless expressly required by applicable Data Protection Law.

6.3  Regulators and SCCs: Nothing in this clause 6 limits: (i) any audit or inspection by a competent supervisory authority; or (ii) any right of Customer under the Standard Contractual Clauses. Where the Standard Contractual Clauses apply, Customer agrees to exercise its audit rights under Clause 8.9 of the Standard Contractual Clauses in the manner set out in this clause 6.

7.  INTERNATIONAL TRANSFERS

Cyncly will only transfer Personal Data outside the jurisdiction in which it was received in accordance with applicable Data Protection Law. Where applicable law requires a transfer mechanism, Cyncly will rely on Standard Contractual Clauses or such other mechanism as specified in Schedule 1 (Region-Specific Terms).

Cyncly group companies contract with customers globally on the same terms. Accordingly: (a) where Customer transfers Personal Data subject to the GDPR, UK GDPR or Swiss FADP to a Cyncly entity located in a country that does not benefit from an adequacy decision, the Standard Contractual Clauses (Module 2 or Module 3, as applicable) apply to that transfer as set out in Schedule 1; (b) where the contracting Cyncly entity is located in the EEA, the UK, Switzerland or another adequate country, no transfer mechanism is required for the transfer from Customer to Cyncly, and Cyncly will ensure that any onward transfer to a sub-processor in a country without an adequacy decision is subject to an appropriate safeguard (such as the EU-US Data Privacy Framework, or Standard Contractual Clauses (Module 3) with that sub-processor); and (c) where Customer is located outside the EEA and Cyncly, as Processor in the EEA, transfers Personal Data to Customer, Module 4 (Processor to Controller) of the Standard Contractual Clauses applies to the extent required by the GDPR.

8.  ARTIFICIAL INTELLIGENCE

8.1  No Training Use: Cyncly will not use Customer Personal Data to train its AI or machine learning models, or for any other purpose outside the scope of providing the Services, without Customer's express documented instructions. Customer instructs Cyncly to anonymise or aggregate Customer Personal Data so that it no longer constitutes Personal Data, and Cyncly may use the resulting anonymised, aggregated or non-personal data to operate and improve its products and services. Cyncly will require each sub-processor that provides AI functionality to be bound by an equivalent restriction on using Customer Personal Data to train its models.

8.2  No Automated Decisions: Cyncly will not make solely automated decisions about individuals that produce legal or similarly significant effects, using Customer Personal Data, except on Customer's documented instructions.

8.3  Privacy by Design: Cyncly will design AI features within its products to support Customer's compliance with Data Protection Law, including the principles of data protection by design and by default, and will provide reasonable assistance to Customer with any data protection impact assessment relating to those features in accordance with clause 4.2.

9.  REGION-SPECIFIC TERMS

Where Cyncly processes Personal Data originating in a region listed in Schedule 1 (Region-Specific Terms), the applicable regional terms will apply, including those governing international transfers. In case of conflict, the order of precedence in clause 10.2 applies.

10.  LIABILITY, PRECEDENCE AND CHANGES

10.1  Liability: Each party's liability arising out of or in connection with this DPA (including the Standard Contractual Clauses, to the extent they permit) is subject to the exclusions and limitations of liability in the Agreement. Nothing in this clause limits any party's liability to Data Subjects under the third-party beneficiary provisions of the Standard Contractual Clauses.

10.2  Order of Precedence: If there is any conflict or inconsistency, the following order of precedence applies (highest first): (i) the Standard Contractual Clauses and any other transfer mechanism incorporated under Schedule 1; (ii) Schedule 1 (Region-Specific Terms); (iii) the main body of this DPA and its Annexes; and (iv) the Agreement. This DPA prevails over the Agreement in relation to the processing of Customer Personal Data. This clause is subject to the precedence of any separately signed data processing agreement described in the introduction to this DPA.

10.3  Changes to this DPA: Cyncly may update this DPA from time to time to reflect changes in Data Protection Law, regulatory guidance or its products and services, provided that no update will materially reduce the overall level of protection for Customer Personal Data during Customer's then-current subscription term, unless required by law. Updates take effect from the "Last updated" date shown on the updated DPA.
