1.   FUNCTIONAL OVERVIEW

Web Services: Cyncly offers state-of-the-art websites tailored specifically for the flooring and kitchen and bath businesses. These websites include industry specific content, lead forms, automations, SEO services and best in class digital tools. They are designed to inspire shoppers, simplify the decision-making process and make it easier for shoppers to connect with the flooring or kitchen and bath business.

Digital Advertising Services: Through its advertising services, Cyncly Websites aims to increase brand awareness by leveraging its team of digital marketing experts to build and manage all aspects of the Customer’s Google Search, Meta (Facebook/Instagram), Google Display Network, OTT, YouTube Ads, Display, and Retargeting campaigns.

Key features of Website Services include:

Product Catalog (Flooring Only): Access to over 400 flooring brands, allowing businesses to showcase a vast array of products.

Content: Manufacturer & brand-specific imagery, content, and information.

Online Flooring Visualizer (Flooring Only): An online tool enabling consumers to preview how different flooring options would look in their spaces.

AI-Powered Inspiration Tool (Kitchen & Bath Only): Enable shoppers to effortlessly reimagine their spaces by uploading a photo of their room and selecting a design style.

In-Store Visualization (Flooring Only): Physical kiosks that provide an immersive product experience for showroom visitors.

E-Commerce Sample Ordering (Flooring Only): E-commerce integrated into our flooring product catalog to allow shoppers to order samples from retailers websites, which are fulfilled by the supplier.

Search Engine Optimization (SEO): Techniques to improve website visibility and ranking on search engines.

Ratings and Reviews: Tools to collect and display consumer feedback, building trust and credibility.

Web2Text: A tool that connects a consumer to the dealer via text, allowing real-time communication channels to engage with consumers instantly.

AI-Powered Email Marketing: Marketing email automation to help businesses generate more business, increase referrals, and stay top of mind with shoppers.

Fibi (Flooring Industry Business Intelligence): AI-powered website agent that communicates with shoppers, provides product knowledge, recommends products, offers sample ordering and can connect shoppers with educational content that exists on the website.

Call Tracking and Recording: Monitoring tools to analyse consumer interactions and improve service.

Retail Lead Management: An easy-to-use interface that is designed to give Customers full visibility into every step of their consumers’ buying journey. Features include sample check out, estimation, floor measurement, and more. It allows Customers to see and manage all their leads and ultimately close more sales.

2.   MARKETING AND GEOGRAPHICAL REGION

The Products are for the flooring and kitchen & bath markets and are sold to Customers located in the United States of America and Canada.

3.   CONTRACT TYPE

Subscription.

4.   TERM

Unless otherwise specified in the Order Form, the following Term will apply:

Web Services: Initial Term of 12 months which automatically renews for subsequent 12 month Term/s unless terminated 30 days prior to renewal.

Digital Advertising Services: Initial Term of 3 months, which automatically renews for subsequent one month Term/s unless terminated 30 days prior to renewal.

5.   SYSTEM REQUIREMENTS

The Products require general internet access. The Digital Advertising Services is only available to Customers who have purchased the Web Services Product.

6.   SECURITY MANAGEMENT PLAN AND DATA

Customer must have and enforce a privacy policy that complies with all applicable laws, rules and regulations including without limitation the treatment of all personal information in accordance with European Union and other non-U.S. applicable laws and governing authorities to the extent that Customer sells into international marketplaces or otherwise is subject to the laws of those authorities. Dealer must secure buyer information and not allow buyer information to be disclosed except in accordance with Customer’s privacy policy. Customer must establish security processes to protect personal information in accordance with applicable law and at least as restrictive as industry standards, but no less than reasonable care. Customer acknowledges that Customer’s information and Customer’s buyers’ information (personal or otherwise) may be transmitted to the United States or European Union and other non-U.S. jurisdictions as a result of the Supplier providing the Services. Customer is responsible for any breaches of security that occur through Customer’s access or login credentials of the Dashboard, Customer’s Account, or Payments Portal.

7.   SUPPORT SERVICES

Support Services are available to all Customers.

To access Support Services, a Customer must fill out a support ticket. The ticket is then reviewed by the Cyncly support team and completed.

8.   SPECIAL TERMS

8.1   In the event Customer enters into an Order Form or an existing Agreement exists between the Partes to purchase certain Services which may include planning and management of the display or delivery of paid online search and other online advertisements on certain third party search engine (e.g., Google, Bing) and/or social media (e.g., Facebook, Instagram) platforms and reporting and analysis of same (“Digital Advertising Services”), Supplier will provide such Digital Advertising Services as set forth in such Order Form and subject to these Terms.

8.2   Upon the parties’ mutual signature of an Order Form that includes Digital Advertising Services, Customer hereby authorizes Supplier to sign up, on Customer’s behalf, with applicable third-party search engine and/or social media platforms set forth in such Order Form for digital advertising accounts.

8.3   Customer hereby represents and warrants that it agrees to, is bound by and will abide by the Google terms of service located at https://policies.google.com/terms, as may be updated by Google from time to time, the Facebook terms of service located at https://www.facebook.com/legal/commercial_terms, as may be updated by Facebook from time to time and/or the Microsoft terms of service located at Microsoft.com/en-us/servicesagreement, as may be updated by Microsoft from time to time (as applicable).

8.4   Customer shall provide Supplier with all reasonably necessary assistance to enable Supplier to perform the Digital Advertising Services.

8.5   By selecting a Manufacturing Advertising Package, the Customer agrees that the Supplier may share data with the Manufacturer, including Shaw Industries Inc, or other manufacturers as notified to Customer. This data may include, but is not limited to, Customer Personal Data, Usage data, and any other information necessary for the provision and improvement of the services. The Manufacturer will use this data in accordance with applicable data protection laws and regulations. The Customer acknowledges and consents to this data sharing as a condition of selecting the package.

8.6   Billing Start Date

8.6.1   For net new websites, billing will commence 30 calendar days from the Effective Date of the Order Form.

8.6.2   For ancillary Products (including but not limited to managed advertising services, SEO, and similar), billing shall commence on the go-live date of the relevant Product or Service.

8.6.3   For website upgrades (e.g. from Standard Website to Premium Website), billing shall commence on the go-live date of the upgraded website.

8.7   Payment Terms

8.7.1   Except as otherwise stated in this Section, all invoices shall be due and payable upon receipt, irrespective of the billing start date.

8.7.2   Notwithstanding clause 3.7.1, invoices issued for:

8.7.3   Net new websites shall be payable within 30 days from the billing date and Ancillary products and upgrades, within 15 days from the billing date, unless the parties agree otherwise in writing.

8.8   For the purposes of Cyncly Websites Go Live will be the date upon which the Website is published live and accessible on the internet.

8.9   For the purposes of Digital Advertising Services Go Live will be the date when the ad campaign is turned on via the ad platform.

8.10   The Supplier will provide Customer with access privileges (an “Account”) that permit Customer to access Cyncly Website’s digital portal that may provide certain insights, metrics and other reporting applicable to the Services (the “Dashboard”). Customer must provide accurate and complete information and keep the Account information updated. Customer is solely responsible for the activity that occurs on the Account and for keeping the Account password secure. Customer shall be responsible for the acts or omissions of any person who accesses the Dashboard using passwords or access procedures provided to or created by Customer. The Supplier hereby grants to Customer a limited, non-exclusive, non-transferable, non-sublicensable right and license to access and use the Dashboard through the Account during the Term solely for Customer’s internal business purposes.

9.   WEBSITE PACKAGES

9.1   Cyncly shall provide the Customer with the features and services corresponding to the selected website package tier—Standard, Premium, Platinum, or Platinum Pro—as set forth below. The Fee for the tier selected will be set out on the Order Form.

9.2   All packages include the following core services: website design and build, standard banner design, access to an unlimited interactive product catalog, the ability to display product flags (such as “Sale” or “In-Stock”), up to five content assets for products or services, access to the Retailer Dashboard (including reporting, analytics, and call tracking), local directory listings, ratings and reviews functionality, and reputation management.

9.3   Customers selecting the Premium, Platinum, or Platinum Pro package shall additionally receive: Google My Business optimization, access to a flooring visualizer tool, Broadlume Financing tools, a dedicated account manager, Web2Text functionality, and SEO enhancements including backlink generation and technical optimization.

9.4   Customers selecting the Platinum or Platinum Pro package shall further receive additional product and service content assets beyond the initial five, the Kitchen & Bath module (including brand and product pages, AI Inspiration, and Design Flex integrations), advanced SEO support, and email marketing services. Platinum and Platinum Pro customers may also manage up to six physical locations through the platform. Only the Platinum Pro package includes Retail Lead Management (RLM) functionality.

9.5   The specific service inclusions for each package tier are subject to change from time to time at Cyncly’s discretion, provided that no material reduction in scope will apply to active subscriptions without thirty (30) days’ prior written notice.

9.6   The Customer may request one or more optional one-time services from Cyncly, including but not limited to: email transfer, logo creation or refresh, creation of additional website pages, content migration, private labeling, setup of stock products, and website refresh services. All applicable one-time services selected by the Customer and the associated fees shall be specified in the Order Form. These services are available regardless of the selected website package and will be provided subject to Cyncly’s standard service delivery terms. All one-time service charges are non-refundable once performance of the applicable service has commenced.

10.   DIGITAL ADVERTISING SERVICES PACKAGES

10.1   Paid Advertising Packages

10.1.1   Each Paid Advertising Package includes a one-time setup Fee as identified on the Order Form. One time setup consists of the creation of ad accounts, the configuration of campaigns, the development of a keyword strategy tailored to the Customer’s product categories (such as carpet, hardwood, laminate, tile and similar offerings), ad copy writing, the preparation of retargeting and Performance Max ad assets, the implementation of conversion tracking (including call tracking), and, for Silver and higher tiers, the set up of a Meta ad account.

10.1.2   Ongoing services include the provision of monthly or quarterly promotion changes (incorporating new ad copy and landing pages), budget management (including spend pacing and reallocating budget across campaigns based on performance insights), bid optimisation (covering keywords, locations, devices, audiences, and demographics), and keyword management (including keyword mining and the application of negative keywords via Search Query Reports). The Supplier shall also deliver real-time reporting on campaign performance. Social advertising may, at the Supplier’s discretion, include organic posts for certain existing Customers and will be agreed in writing.

10.2   SEO Packages

10.2.1   The Supplier offers four levels of SEO services: Bronze (Advanced), Silver (Pro), Gold (Elite), and Platinum (Premier).

10.2.2   The Bronze package establishes the Customer’s SEO foundation through one-time keyword research, a technical and on-page audit, the creation of a blog page, and the building of initial backlinks to industry-relevant sources. This package is intended to support gradual organic traffic growth on a monthly basis.

10.2.3   The Silver package, designed for single-location retailers, begins with an onboarding process during which the Supplier gathers business insights through an SEO questionnaire, performs a technical audit, initiates backlink outreach, creates a blog page, and produces a three-month roadmap. Where relevant, the Supplier will also handle account migration. Thereafter, the Supplier will deliver monthly website health checks, produce one custom content item (such as a service page, guide, or landing page), draft four optimised blog posts of 300–600 words each, implement on-page optimisations (including metadata, schema, and internal links), conduct link building, and issue a monthly statement of work.

10.2.4   The Gold package, tailored for Customer retailers with two to three locations, expands the Silver package to multi-location SEO. The onboarding process mirrors the Silver package but extends to a sitewide audit across multiple locations. The monthly deliverables comprise a health check across the Customer’s entire site, two custom content items, four optimised blog posts of 300–600 words each, on-page enhancements across locations, more aggressive link building, and Google My Business optimisation of up to three updates per Month.

10.2.5   The Platinum package, suitable for retailers with three or more locations, provides enterprise-level SEO. Onboarding includes a detailed questionnaire addressing business, location, and product priorities, a comprehensive audit across all locations, backlink outreach, blog setup, a three-month roadmap structured by location, and account migration if applicable. Ongoing monthly services include a full technical audit across all sites, three custom content pieces, six optimised blog posts of 300–600 words each, continuous on-page optimisation (including metadata, schema markup, image optimisation, and internal links), strategic link building across locations, detailed monthly statements of work broken down by location, and Google My Business optimisation of up to four updates per month.

10.3   Email Marketing Packages

10.3.1   The Supplier also offers four tiers of email marketing services. The Advanced (Velocity) package consists of one pre-written monthly newsletter featuring promotions, Rugs.Shop content, and current blog material. The newsletter uses a basic design template with the Customer’s store name and logo, is automated with no Customer changes permitted, and focuses on consistency and efficiency.

10.3.2   The Pro package includes one custom newsletter per month, supported by a custom-branded template featuring the Customer’s logo. Campaigns are pre-scheduled on a calendar and the service is designed to provide both automation and consistency.

10.3.3   The Elite package is a targeted and performance-driven service that delivers templated automated drip campaigns consisting of eight prospect emails and eight customer emails. This package requires RFMS/RLM integration and is focused on growth, personalisation, and engagement.

10.3.4   Finally, the Premier package provides a full-service email marketing strategy and execution. The scope of services under this package, including campaign strategy, execution, and optimisation, shall be custom-quoted and agreed in writing between the Parties prior to commencement.
